KIDGE Participant Terms

This English version is provided for reference only. In the event of any inconsistency, the Traditional Chinese version prevails (see Section 8.3).

These Participant Terms (the "Terms") are entered into between KIDGE Ltd. (格界科技有限公司; "KIDGE" or "the Company") and any individual or organization invited by a KIDGE customer to access a specific project through the Owner Portal or Vendor Portal (the "Participant" or "you").

By clicking "Agree" when accepting the invitation, you confirm that you have read and agree to these Terms and the KIDGE Privacy Policy. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not access the project.


1. Your Status

1.1The KIDGE customer who invited you (the "Customer") is a subscriber of the Company, and the project is created and managed by the Customer. You are a third party invited by the Customer to participate in that project. You are not a customer of the Company, and no subscription, payment, or service contract exists between you and the Company.

1.2Your role in the project (e.g., owner, supervising engineer, subcontractor, supplier), your visibility, and your permissions are set by the Customer; the Company does not intervene. The rights and obligations between you and the Customer are governed by your contract with the Customer and do not involve the Company.

1.3You do not pay the Company to use the Service. The Company owes you no obligation regarding service levels, availability, or maintenance of features.


2. Effect of Confirmations

2.1A "confirmation" you make on an event, document, or status in a project (including clicking to confirm, signing off, or any other confirmation action provided by the Service) means that you have reviewed the content and acknowledge its state at the time of confirmation. The Company records the confirmation time and your identity, and locks the record with a hash value (a "Confirmed Record"). The Service presents the content being confirmed to you before confirmation and preserves that content in the state it was in at the time of confirmation. You agree that such confirmations constitute electronic signatures and electronic documents between you, the Customer, and the other participants, and you consent to their being made by electronic means.

2.2You shall make confirmations only in your own identity and ensure that you are authorized to make them on behalf of your organization. You shall safeguard your login credentials; any action taken with your credentials is presumed to be yours.

2.3Once a Confirmed Record is locked, no party (including you, the Customer, and the Company) may unilaterally modify or delete its content. Corrections shall be made by adding a correcting record; the original record is retained.

2.4A Confirmed Record evidences only the fact that its content has not been altered since the time of confirmation. The Company is not responsible for the truth, accuracy, or legality of the record's content, and makes no warranty as to the admissibility or probative value of Confirmed Records in any judicial, arbitral, or administrative proceeding.


3. Data Ownership and Retention

3.1Project content (including data you upload, enter, or confirm) is managed by the Customer, and the Company stores and processes it on the Customer's instructions. You retain your existing rights in content you upload, and grant the Company the right to store, process, and display it to project participants as necessary to provide the Service.

3.2Retention of project content depends on the Customer's subscription status. When the Customer terminates its subscription, deletes the project, or removes your access, you will no longer be able to access the project, and the Company has no obligation to retain data separately for you.

3.3You should keep your own copies of any records you need during the course of the project. During the life of the project, or during the export period after the Company notifies you that the project is about to be deleted, you may request in writing that the Company export the Confirmed Records in which you participated; the Company will provide them in a common format within a reasonable period.

3.4Your name, confirmation times, and confirmed content in the project form part of the Customer's project records. Their retention and deletion are governed by the Customer's decisions and the Company's Privacy Policy.

3.5Your confidentiality obligations regarding project content are governed by your agreement with the Customer. You shall not use project content for any purpose other than participating in the project.


4. Personal Data

4.1The Company processes your account data (name, email, organization) under the Privacy Policy. For your data within the project, the Customer is the collector of personal data and the Company is the processor.

4.2You may exercise rights of access, correction, and the like under the Privacy Policy. You agree that your name, confirmation times, and confirmed content within locked Confirmed Records form part of record integrity, will be retained for as long as the project records exist, and are not subject to deletion requests; such retention is also necessary for the Company to maintain records as required by law and contract.


5. Usage Rules

You shall not:

(a)upload unlawful, infringing, or malicious content;

(b)impersonate others, or operate or confirm using another person's credentials;

(c)circumvent the Service's access controls or security mechanisms;

(d)reverse engineer the Service or attempt to obtain its source code;

(e)access the Service in bulk by automated means in a way that affects system stability;

(f)access, download, or distribute project content beyond your permission scope.

If you breach this Section, the Company may immediately terminate your access and may claim damages.


6. Disclaimers and Limitation of Liability

6.1The Service is provided "as is." The Company does not warrant to you that the Service will be uninterrupted, error-free, or suited to your specific needs.

6.2The Service is an information tool for contract-performance management and does not constitute engineering, architectural, legal, financial, or accounting advice. You shall exercise your own professional judgment regarding contract performance, valuation, payment claims, and claims. The Company is not responsible for decisions you make in reliance on information in the Service or their consequences.

6.3To the maximum extent permitted by law, the Company is not liable to you for any indirect damages, loss of profits, or punitive damages. Except for willful misconduct, gross negligence, and liability that cannot be limited by law, the Company's aggregate liability to you shall not exceed NT$10,000 (New Taiwan dollars).

6.4Any dispute between you and the Customer or other participants shall be resolved between you and that party; the Company does not intervene and bears no responsibility.


7. Termination of Access

7.1You may stop using the Service at any time. Ceasing use does not affect Confirmed Records already established.

7.2The Customer may remove your access at any time. The Company may terminate your access if you breach these Terms.

7.3Sections 2, 3, 4, and 6 survive termination of your access.


8. General

8.1The Company may amend these Terms; amended versions will be posted on the Company's website. For amendments materially adverse to you, the Company will notify you by email before they take effect. Continued access to a project after the effective date constitutes acceptance of the amendment.

8.2These Terms are governed by the laws of the Republic of China (Taiwan). Disputes arising from these Terms shall be subject to the Taiwan Taipei District Court as the court of first instance.

8.3The Traditional Chinese version of these Terms is authoritative; other language versions are provided for reference only.

8.4"Written" or "in writing" in these Terms includes email and system notifications within the Service.
